Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Sole Proprietor (Individual Entrepreneur) Hanenko Oleksandr Anatoliyovych, Odesa, Ukraine, trading as GladeX ("we", "us", "our", "Developer"), and govern your use of the Weighly app for iPhone, iPad and Apple Watch, its widgets and extensions (the "App").

01Acceptance and eligibility

By downloading, installing or using the App you agree to these Terms and to the Weighly Privacy Policy. If you do not agree, do not use the App.

You must be at least 13 years old (or the higher minimum age in your country, such as 16 in some EU countries) to use the App. If you are under the age of majority where you live, you may use the App only with the consent and supervision of a parent or guardian, who accepts these Terms on your behalf. Intermittent fasting features are intended for adults only.

02License

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the App for your own non-commercial purposes on Apple devices you own or control, as permitted by the Apple Media Services Terms and Conditions (including Family Sharing where it applies).

You may not copy, modify, distribute, sell, rent, lend or sublicense the App; decompile, reverse engineer or attempt to extract its source code, except where the law expressly allows it; remove any proprietary notices; or use the App to build a competing product.

03Health and safety disclaimer

Not medical advice. All content in the App, including weight trends, "true weight", goal date forecasts, calorie targets, BMI and healthy range, fasting phases, plateau suggestions, cycle-related estimates, achievements and AI answers, is provided for general informational and motivational purposes only. It is not a substitute for professional medical advice, diagnosis or treatment, and it is not tailored to your medical history.

Estimates, not guarantees. Forecasts and calorie targets are calculated from the data you provide and from general formulas. They can be inaccurate, and individual results vary. BMI does not account for muscle mass, body composition, age, sex, ethnicity, pregnancy or other factors. Cycle phases are approximate and must not be used for contraception or fertility decisions. We do not guarantee any weight, health or fitness result.

Fasting and weight change. Fasting, calorie restriction and rapid weight change carry risks and are not suitable for everyone. Do not fast or restrict food if you are under 18, pregnant or breastfeeding, have or have had an eating disorder, have diabetes, low blood sugar or another medical condition, or take medication, unless a doctor has approved it. Stop and seek medical help if you feel unwell, dizzy or faint. If you are struggling with eating, body image or your weight, please reach out to a qualified professional or a local support service.

Emergencies. The App is not designed for emergencies or for monitoring any medical condition. In an emergency, contact your local emergency services immediately.

You use the App and act on any information in it at your own discretion and risk. Always consult a qualified healthcare professional before making decisions about your health, diet, exercise or medication.

04AI features

The AI coach, weekly letter and other AI-written text are generated automatically by Apple's on-device language model from a summary of your own data. AI output may be incomplete, inaccurate, outdated or inappropriate for your situation, and may sound more certain than it is. It is not medical, nutritional, psychological or professional advice, and you should not rely on it as such. Check important information independently and consult a professional where appropriate.

AI features require Apple Intelligence and are available only on supported devices, in supported languages and regions, and where Apple Intelligence is enabled. Availability, quality and behaviour of the underlying model are controlled by Apple and may change or stop at any time. We do not guarantee that AI features will be available on your device or in your language, and their unavailability is not a defect of the App or a ground for a refund from us.

05Subscriptions and purchases

Many features are free. Some features ("PRO") are available through auto-renewing subscriptions or a one-time purchase sold through the Apple App Store, including family plans that can be shared through Apple Family Sharing. The features included, prices, billing periods and any free trial are shown in the App before you buy and may vary by country.

• Payment is charged to your Apple Account when you confirm the purchase. Purchases are processed by Apple, and subscription status is verified with the help of RevenueCat.
• Subscriptions renew automatically at the end of each period at the then-current price unless you turn off auto-renewal at least 24 hours before the period ends. Your account is charged for renewal within 24 hours before the end of the current period.
• You can manage or cancel a subscription in your Apple Account settings (Settings → [your name] → Subscriptions). Deleting the App does not cancel a subscription.
• If a free trial is offered, any unused part of it ends when you buy a subscription. If you do not cancel before the trial ends, the subscription starts and you will be charged.
• A one-time ("lifetime") purchase unlocks the PRO features available in the App for as long as we continue to offer and support the App; it does not guarantee future features, availability on future devices or operating systems, or that the App will be maintained indefinitely.
• Purchases can be restored on your devices with "Restore Purchases" in the App.

Refunds. All payments are handled by Apple. We cannot issue refunds or see your payment details. Refund requests must be made to Apple at reportaproblem.apple.com and are decided by Apple under its policies. Except as required by law or by Apple's policies, payments are non-refundable, and there are no refunds or credits for partial periods.

Changes. We may change prices, plans or the set of PRO features for future billing periods, in line with Apple's rules and applicable law. When a subscription ends, PRO features stop working, but the data on your device remains available in the free version.

06Your data and content

Everything you enter or add to the App (weigh-ins, measurements, notes, photos and other information) remains yours. It is stored on your device and, if you enable iCloud Sync, in your own iCloud account, as described in the Privacy Policy. We do not host it and do not claim any rights in it.

You are responsible for the content you add and share, including photos. Make sure you have the right to use any image you add, and do not add images of other people without their permission.

Backups. You are solely responsible for keeping backups of your data, for example with the App's export feature, iCloud or your device backups. We are not responsible for loss of data caused by deleting the App, device loss or failure, changes to your Apple Account, iCloud or Apple Health, sync conflicts, operating system updates or other causes beyond our reasonable control.

07Acceptable use

You agree not to: use the App unlawfully or to harm yourself or others; attempt to bypass, unlock or interfere with paid features, purchase verification or security measures by unauthorised means; interfere with or disrupt the App or any related service; use the App to infringe the rights of others; or use the App in a way that breaches the Apple Media Services Terms and Conditions. We may suspend or end your access to features if you breach these Terms.

08Third-party services

The App works with services provided by others, including Apple (App Store, Apple Health, iCloud, Apple Intelligence, Siri, Apple Watch and others), RevenueCat and Tally. Your use of those services is governed by their own terms and privacy policies. We do not control them and are not responsible for their availability, accuracy, changes or any loss they cause. Data imported from Apple Health or other apps is only as accurate as its source.

09Intellectual property

The App and all its content, including code, design, the Weighly name, logo, mascot, illustrations, texts and graphics, are owned by the Developer or its licensors and are protected by copyright, trademark and other laws. Except for the limited license in section 2, no rights are granted to you. If you send us feedback or ideas, you allow us to use them freely without any obligation to you.

Apple, iPhone, iPad, Apple Watch, Apple Health, HealthKit, iCloud, Apple Intelligence, Siri, Face ID and App Store are trademarks of Apple Inc. Other names are the property of their respective owners. Their use does not imply endorsement.

10Disclaimer of warranties

To the maximum extent permitted by law, the App is provided "as is" and "as available", with all faults and without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the App will meet your needs, be uninterrupted, timely, secure or error-free, that data will be accurate, synced or preserved, that defects will be corrected, or that any particular result will be achieved. No advice or information obtained from the App or from us creates any warranty not expressly stated in these Terms.

11Limitation of liability

To the maximum extent permitted by law, the Developer and its contractors, agents and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of data, profits, revenue, goodwill or health outcomes, or any personal injury or harm arising from following or relying on information in the App, in each case arising out of or related to the App or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for all claims relating to the App or these Terms is limited to the greater of (a) the amount you paid for the App or PRO in the 12 months before the event giving rise to the claim, or (b) USD 10. These limitations are an essential part of the agreement and allow us to offer the App, including its free features, at its current price.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for death or personal injury caused by negligence, for fraud, or your statutory rights as a consumer.

12Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless the Developer and its contractors and agents from any claims, damages, losses and expenses (including reasonable legal fees) arising from your misuse of the App, your content, or your breach of these Terms or of any law or third-party right.

13Changes to the App and termination

We may update, change, suspend or discontinue the App or any feature at any time, including to comply with law, Apple's requirements or changes in third-party services. You may stop using the App at any time by deleting it and cancelling any subscription in your Apple Account. We may suspend or end your license if you breach these Terms. Sections that by their nature should survive termination (including sections 3, 4, 6 and 9 to 17) survive.

We may change these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date, and material changes will be brought to your attention where reasonably possible. Continued use of the App after the update means you accept the new Terms. If you do not agree, stop using the App and cancel your subscription.

14Governing law and disputes

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law rules. Before starting any formal proceedings, you agree to contact us first so we can try to resolve the issue informally within 30 days. If it cannot be resolved, disputes will be decided by the competent courts of Ukraine at the Developer's place of registration, unless mandatory law provides otherwise.

If you are a consumer living in the EU, the European Economic Area, the United Kingdom or another country with mandatory consumer protection laws, nothing in these Terms takes away the rights you have under the laws of your country of residence, including the right to bring proceedings in your local courts.

15Apple App Store terms

The App is distributed through the Apple App Store, so the following also applies:

• These Terms are between you and the Developer only, not Apple. The Developer, not Apple, is solely responsible for the App and its content.
• Your license is limited to use on Apple-branded devices you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
• Apple has no obligation to provide any maintenance or support for the App.
• If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation regarding the App. Any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are the Developer's responsibility, to the extent not disclaimed in these Terms.
• The Developer, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your possession and use of it, including product liability claims, claims that the App fails to meet legal or regulatory requirements, and claims under consumer protection, privacy or similar laws.
• If a third party claims that the App or your possession and use of it infringes its intellectual property rights, the Developer, not Apple, is responsible for the investigation, defence, settlement and discharge of that claim.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• You must comply with applicable third-party terms (such as your mobile carrier's) when using the App.
• Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple has the right (and is deemed to have accepted the right) to enforce them against you as a third-party beneficiary.

Where these Terms conflict with Apple's Licensed Application End User License Agreement, these Terms apply to the extent permitted.

16General

These Terms and the Privacy Policy are the entire agreement between you and us about the App. If any provision is found unenforceable, it will be enforced to the maximum extent possible and the rest will remain in effect. Our failure to enforce a right is not a waiver of it. You may not transfer your rights under these Terms; we may transfer ours, for example in connection with a sale of the App. We are not responsible for delays or failures caused by events beyond our reasonable control. These Terms are written in English; any translation is provided for convenience, and the English version prevails.
